1. ACCEPTANCE OF TERMS

1.1 Agreement to Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

1.2 Authority to Accept

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

1.3 Age Requirement

You must be at least 18 years old to use our Services. By using our Services, you represent that you meet this requirement.

1.4 Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or in-product notification at least 30 days before they take effect. Your continued use after changes become effective constitutes acceptance of the modified Terms.

2. DESCRIPTION OF SERVICES

2.1 Services Overview

PatternHooks provides webhook infrastructure services including:

• Webhook sending and delivery management
• Webhook receiving and event ingestion
• Automatic retries with exponential backoff
• Real-time monitoring and dashboards
• Event replay and debugging tools
• Payload transformations
• Security features (HMAC signatures, mTLS)
• APIs and SDKs

2.2 Service Availability

We strive to provide high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice, except in emergencies.

2.3 Service Level Agreement

Business and Enterprise plans include an SLA with 99.9% uptime commitment. Details are in your service agreement or at patternhooks.com/sla.

3. ACCOUNTS

3.1 Account Registration

You must provide accurate, current, and complete information when creating an account. You agree to update this information to keep it accurate.

3.2 Account Security

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
• Using strong, unique passwords and enabling two-factor authentication

3.3 API Keys

API keys are credentials that grant access to your account. You are responsible for keeping them secure and must immediately rotate any compromised keys.

3.4 Account Sharing

Account credentials are for your organization's use only and may not be shared with third parties without our written consent.

4. ACCEPTABLE USE

4.1 Permitted Use

You may use our Services for lawful purposes in accordance with these Terms. You agree to comply with all applicable laws and regulations.

4.2 Prohibited Activities

You agree NOT to:

• Use the Services for any unlawful purpose or to facilitate illegal activities
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble the Services
• Use the Services to send spam or unsolicited communications
• Resell or redistribute the Services without authorization
• Use the Services to process illegal gambling, adult content, or controlled substances
• Violate the intellectual property rights of others
• Exceed rate limits or circumvent usage restrictions

4.3 Content Restrictions

You are responsible for the content transmitted through your webhooks. You agree not to transmit content that is illegal, harmful, fraudulent, deceptive, or infringes on others' rights.

4.4 Enforcement

We may investigate and take action against violations, including suspending or terminating accounts, removing content, and reporting to law enforcement.

5. PAYMENT TERMS

5.1 Pricing

Current pricing is available at patternhooks.com/pricing. Prices are in USD unless otherwise specified.

5.2 Billing

• Paid plans are billed monthly or annually in advance
• Usage-based charges are billed monthly in arrears
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees

5.3 Price Changes

We may change pricing with 30 days' notice. Price increases take effect at the start of your next billing cycle after the notice period.

5.4 Taxes

Fees exclude applicable taxes. You are responsible for paying all taxes associated with your use of the Services, except for taxes based on our net income.

5.5 Late Payment

Late payments may incur interest at 1.5% per month (or the maximum legal rate). We may suspend Services for accounts more than 30 days past due.

5.6 Free Tier

Free tier usage is subject to limits specified on our pricing page. We reserve the right to modify or discontinue the free tier with 30 days' notice.

6. INTELLECTUAL PROPERTY

6.1 Our Intellectual Property

The Services, including all software, APIs, documentation, designs, and trademarks, are owned by PatternHooks and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

6.2 Your Content

You retain all rights to content you transmit through the Services. You grant us a limited license to process your content solely to provide the Services.

6.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

6.4 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Services or software without our written consent.

7. WARRANTIES AND DISCLAIMERS

7.1 Service Warranty

We warrant that the Services will perform materially in accordance with our documentation.

8. LIMITATION OF LIABILITY

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATTERNHOOKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

8.2 Liability Cap

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

8.3 Exceptions

These limitations do not apply to liability arising from: (a) your breach of Section 4 (Acceptable Use), (b) your indemnification obligations, or (c) liability that cannot be limited by law.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless PatternHooks and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you transmit through the Services

10. TERMINATION

10.1 Termination by You

You may terminate your account at any time through account settings or by contacting support. Termination takes effect at the end of your current billing period.

10.2 Termination by Us

We may terminate or suspend your account:

• Immediately for material breach of these Terms
• Immediately for illegal activities
• With 30 days' notice for convenience
• Immediately if required by law

10.3 Effect of Termination

Upon termination:

• Your access to the Services will cease
• You remain liable for all fees incurred
• We will delete your data in accordance with our Privacy Policy
• Provisions that should survive termination will remain in effect

10.4 Data Export

You may export your data before termination. Upon request, we will provide data export assistance for 30 days after termination.

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes shall be resolved exclusively in the courts of London, England, and you consent to personal jurisdiction in those courts.

11.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@patternhooks.com to attempt informal resolution for at least 30 days.

12. GENERAL PROVISIONS

12.1 Entire Agreement

These Terms, together with the Privacy Policy and any service-specific terms, constitute the entire agreement between you and PatternHooks.

12.2 Severability

If any provision is held unenforceable, the remaining provisions will continue in effect.

12.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

12.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations to an affiliate or successor.

12.5 Notices

We will send notices via email to the address associated with your account. You agree to keep your contact information current.
